Explained: What the Rs 1000 crore deal means for KJo and Adar Poonawalla

Serum Institute of India CEO Adar Poonawalla-led Serene Productions on Monday said it will pick up a 50 per cent stake in Karan Johar’s Dharma Productions and Dharmatic Entertainment for Rs 1,000 crore. The past few months had witnessed speculation in the entertainment industry that Karan Johar was planning to sell a stake of Dharma Productions. Saregama and Reliance were said to be frontrunners. Brahmastra: Part One—Shiva (2022) and Rocky Aur Rani Kii Prem Kahaani (2023) were two of Dharma’s recent hits With this deal, Poonawalla—the CEO of Serum Institute of India (SII), and Chairman of Poonawalla Fincorp—is foraying into entertainment through his Serene Productions. The deal, which sees Karan retaining his position as the Executive Chairman and Apoorva Mehta as the CEO, is being viewed as a win-win for both parties. In terms of numbers prima facie, this deal values Dharma— which includes its digital arm, Dharmatic Entertainment—at Rs 2,000 crore. Sources say it is an optimistic valuation. An insider says, “Karan has got a good valuation. Technically, Dharma’s revenue fell by 50 per cent in the last financial year. In 2022-2023, its revenue was said to be at Rs 1,000 crore. Brahmāstra: Part One—Shiva [2022] was a major contributor to the profit. However, in 2023-24, even though the company witnessed a spike in its digital and music earnings, its total revenue had a 50 per cent drop as it did not have a blockbuster. But Adar has invested in the company, looking at its equity and Karan’s creative might. A part of the Rs 1,000-crore investment will be directed to the original investors—Karan and his mother Hiroo Johar—while the remaining will be allocated towards production.”  Adar Poonawalla and Karan Johar For Poonawalla, who has long been friends with Karan, it is a strategic investment as it gives him a significant stake in the media industry. Another source breaks it down, “For Adar Poonawalla, it’s a great diversification after dominating the pharmaceutical and financial sectors. This move will bring corporate culture into the corridors of Dharma. All the heavy lifting that Karan and Apoorva had been doing, in terms of cost management, will now be delegated.” As is the norm with such deals, the company is expected to undergo restructuring. “Some of Adar’s people will take key positions at Dharma, and there will be a lot of lay-offs,” says another source.  It is understood that the roles will be clearly divided in the 50-50 partnership. Decades after his filmmaker-father Yash Johar founded Dharma in 1976, Karan took the company to new heights with his vision. He not only helmed many blockbusters—from Kuch Kuch Hota Hai (1998) to Student of the Year (2012)—but also backed many directors, becoming something of Bollywood’s big daddy. “Now, Karan will spearhead the company’s creative operations and lead it from the front. Adar wants to stay away from the creative aspect. So, everything related to films will be handled by Karan, including the star fees and the budget on which a film is to be mounted. Adar will look at the operational aspects, probably telling him how much money can be spent on the workforce, how much bonus to be given, and so on.”  The equal partnership that Poonawalla’s deal afforded was one of the reasons why Karan inked the deal. In contrast, Saregama, owned by Sanjeev Goenka, and Reliance Industries were reportedly in the bidding war to buy a majority stake in Dharma. A source reveals, “Saregama was willing to acquire the stake for R800 crore. Adar outbid both the players. But another crucial reason is that neither of those giants would have gone into a 50-50 partnership. It has been seen historically that Reliance eventually acquires the companies it buys stakes in.” The partnership is being viewed as a huge boost for the Hindi film industry, which has been struggling since theatres reopened after the pandemic-induced shutdown.   When pharma meets films 1) Adar Poonawalla is the CEO of Serum Institute of India, the world’s largest vaccine-producing company in terms of volume, which produced Covishield in India. 'Conman' Sukesh makes bold offer to buy stake in Dharma Productions

Sukesh Chandrashekhar has been in the spotlight ever since he openly expressed his love for actress Jacqueline Fernandez. Despite being in jail for his alleged role in a Rs 200 crore money laundering case, he continues to send letters from prison, often addressed to Jacqueline. In his latest letter, he wrote about wanting to buy a significant stake in Karan Johar’s Dharma Productions. Karan Johar's Dharma Productions gets bid from Sukesh Chandrashekhar Sukesh Chandrashekhar sent a 'letter of intent' from Tihar jail in Delhi, where he's currently held. The three-page letter, sent through a law firm called Anantam Legal, outlined his plan to purchase around 50-70 percent of Karan Johar's Dharma Productions. In the letter, he wrote, "Karan, I am giving you open offer with any Terms of your Choice, and I am looking at 50 to 70 percent Stake in Dharma, and you give me your number which according to you is Reasonable, I commit they would not be a Negotiation, We will we will do a all Cash Deal in 48 hours, here in Indiaor through FDI, from BVI (sic.)" The letter mentioned that his financial advisor told him Dharma Productions was looking for investors. Since no agreements had been made, Sukesh decided to make his own offer. He also added in the letter, “Me, my family, are Big Fans of Dharma productions, Mainly the Wonderful Human Karan Johar, and most importantly Love of My Life Jacqueline,has huge Respect towards you, Which you very well know. So its a Privilege and a honour to acquire Stake/infuse funds in your Company and Become a part of your family (sic.)" He also shockingly stated, "I am sure for you this offer is Very Strange, as it’s Being offered from the Walls of Asia’s largest prison, But Karan, Best and Wonderful things happen from extraordinary Situations and places, Persons, Give a Chance to make all of this a extraordinary Deal which the World Would talk about. Gadar director returns with Vanvaas in December, Nana Patekar headlines film

Coming to MAMI The upcoming movie, My Melbourne, is set to be screened at the MAMI Film Festival this year in its Gala Section. Talking about the climax sequence, he said, “We had a team of 1,000 people shooting the climax. The team from South Africa, which shoots Fear Factor: Khatron Ke Khiladi for us, was there, along with a team from Bangkok, and my team.” If the trailer gives a befitting glimpse into the movie, Singham Again appears to draw inferences from the Hindu epic, Ramayana. She elaborates, “The incredible thing for me is that to date whenever I meet people, especially now working in this industry, even when I'm on sets, people will come up to me and tell me, 'We're big fans of your mother'.They will tell me their story of 'Maine Pyar Kiya' and it's so wonderful because everyone has a story with that. Some would say they've watched it 50 times, they would dance to the songs, some would collect photo stamps, and so on. It's just so interesting to see that it could have that effect on so many people and be part of their memories.” Avantika Dassani shares her reaction to 'Maine Pyar Kiya' Avantika Dassani was in school when she watched the iconic film 'Maine Pyar Kiya'. She admits not being able to bring herself to watch it like any other movie since she couldn't see her mother sad or crying in a difficult situation. She asserts, “You don't understand it, you don't comprehend it and all it does is upset you. So that was the reason why we couldn't watch her on screen because obviously, she has a lot of emotional scenes. I don't know about my brother, but I actually didn't watch it for a really long time. And also the idea, right? That's not my father (laughs).” On a serious note, she adds, “You still live in a reality where your father is at home very much and you are seeing that. Also, I hadn't been on sets with her at this point in time. When you're that small, it's just a little unnerving for a bit to get used to. But it's not problematic in any way. I don't think it's an issue. It's just, 'hmm', one of those moments. But you get over the 'hmm' very fast.” Avantika Dassani's hilarious on-set story with mom Bhagyashree Avantika looks back at one instance when she interrupted her mother's scene, who at that point was being thrashed by a villain. “I don't remember this, but this is a story I'm told. There was a scene where someone is sort of having this fight with her and they throw her to the ground. And I not knowing what the hell was happening, ran into the frame and went up to this 6-ft man and started hitting him and saying, 'Meri mummy ko chor do' (Let go of my mother),” she signs off.

War 2: Jr NTR to shoot an epic 40-man showdown for Ayan Mukerji’s action film

When it comes to War 2, the audiences can expect action and then some more. In April, mid-day reported that leading man Hrithik Roshan and Jr NTR, who plays the antagonist, shot a face-off sequence set inside an aircraft (This flight’s ready to take off, April 12). Now, one hears that the Telugu star is set to film a major action set-piece, starting today. Insiders suggest that it will be one of the key moments in the spy thriller that will establish Jr NTR’s villain as a formidable force.     The elaborate sequence for Ayan Mukerji’s directorial venture will be shot at Yash Raj Studios in Andheri. A source tells us, “Ayan wanted Jr NTR’s solo scene to be designed in a way that it highlights the character’s raw power. With that brief, the action choreographer envisioned a fight that sees him take on a gang of 40. The team started shooting early at the set inside the studio, and will be shooting here for the next three days.” Apparently, Roshan will join the unit later this week as Mukerji will can another action sequence featuring the two stars.   The sequel to the blockbuster War (2019) stars Kiara Advani as the leading lady. Last month, the actor and Roshan wrapped up an Italy schedule where they filmed some romantic numbers (Say sì to Italy, Sep 10).

There have been reports that Salman Khan will make a cameo as Chulbul Pandey, but now a new update has come in stating that amid security concerns, Salman Khan will not be making a special appearance in Rohit Shetty’s 'Singham Again'. Salman Khan to not make cameo in Singham Again According to a report in 'Bollywood Hungama', there were plans for Salman to reprise his iconic role as Chulbul Pandey from the 'Dabangg' franchise in a cameo, but now, with ongoing security concerns and the death threats against Salman, the makers have scrapped the idea of having Khan's cameo in the film. "The one-day shoot was scheduled to take place at Golden Tobacco in Mumbai; however, owing to the sudden demise of Baba Siddiqui, the shoot was cancelled. Rohit and Ajay then had discussions internally and felt that it would be insensitive to request Salman Khan to shoot amid all the controversy. The duo was racing against time to submit their film to the censors and has decided to submit the film without the appearance of Salman Khan," a source told 'Bollywood Hungama'. The source further continued, adding, "Shooting with Salman just a day or two after the death of Baba Siddiqui was insensitive. Rohit had to submit 'Singham Again' to the censors by Friday, October 18. That's when they took the tough call to move on and respect the privacy of Salman Khan." About Rohit Shetty's 'Singham Again' The trailer of 'Singham Again' was released recently and draws inferences from the Hindu epic of 'Ramayana'. It stars some of the biggest stars of Hindi cinema, including Ajay Devgn, Kareena Kapoor Khan, Ranveer Singh, Deepika Padukone, Tiger Shroff, Arjun Kapoor, and Jackie Shroff. The film marks the fifth installment of Shetty's Cop Universe and is a sequel to 'Singham Returns'. The film integrates Rohit Shetty’s fabled cop universe as Bajirao Singham, played by Ajay Devgn, sets out to bring back his wife, Avni Kamat (inspired by Sita), played by Kareena Kapoor Khan, from the clutches of Arjun’s character. The film is set to release on Diwali and will clash with 'Bhool Bhulaiyaa 3' at the box office.
